1. Acceptance of Terms
By accessing or using the services provided by Exit Consulting ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, clients, contractors, and any other parties who access or use our services.
2. Services Overview
Exit Consulting provides enterprise IT staffing, infrastructure deployment, 24/7 support services, site management, surveys and logistics, and related professional services across 190+ countries. The scope, deliverables, and service-level agreements for any engagement are defined in the applicable Statement of Work or service agreement between the Company and the client.
3. Client Obligations
Clients are responsible for providing accurate and complete information required for the delivery of services. You agree to cooperate with our teams, grant reasonable access to relevant systems and facilities, and comply with all applicable laws and regulations in connection with the services provided. Failure to meet these obligations may affect service delivery timelines and outcomes.
4. Intellectual Property
All content, branding, methodologies, tools, and materials provided by Exit Consulting remain the exclusive intellectual property of the Company unless expressly agreed otherwise in writing. Clients retain ownership of their proprietary data and systems. Neither party may use the other's intellectual property without prior written consent.
5. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the course of the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of the service agreement.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Exit Consulting shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from or related to the use of our services, including but not limited to loss of revenue, data, or business opportunity. Our total liability under any engagement shall not exceed the fees paid by the client for the specific services giving rise to the claim.
7. Service Availability
While we strive to provide uninterrupted services, we do not guarantee that our services or website will be available at all times. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to affected clients where applicable.
8. Termination
Either party may terminate a service engagement in accordance with the terms set out in the applicable service agreement. Upon termination, all outstanding fees become immediately payable. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Exit Consulting is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the courts of competent jurisdiction.
10. Changes to Terms
We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after any modification constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
